I very much disagree. Privately-held companies in America deal with multiple share classes and many different transactions all the time. That's how venture capital runs Silicon Valley until a lucky few go public; it's easier for a startup that's still private with multiple tranches of investment (angel, series A, B, C) each with different rights to just get bought by a public company, in which case the startup cannot have the sort of errors you're talking about.
